These Terms are an agreement between you and OakMind AI Inc., an Ontario, Canada corporation. Atlas and OakAtlas are product names used by OakMind AI Inc.
1. Agreement and eligibility
By affirmatively accepting these Terms, purchasing credits, redeeming an asset, or otherwise using a transaction that refers to these Terms, you agree to them and to the applicable Commercial Asset License. You must be at least 13. If you are below the age of majority where you live, your parent or legal guardian must review and accept these Terms for you and is responsible for your use of Atlas. Purchases must be made by an adult or with the payment method holder’s express authorization.
2. Accounts
Provide accurate account information and keep your authentication methods secure. You are responsible for activity under your account. Accounts, credits, and entitlements may not be sold, shared publicly, or transferred without our written permission. Tell [email protected] promptly if you believe an account has been compromised.
3. Marketplace and credits
Atlas provides previews and licenses to downloadable digital assets. Credits are a limited contractual entitlement usable only in Atlas; they are not cash, cannot be transferred or redeemed for cash, and do not earn interest. Purchased credits do not expire merely because time passes while Atlas operates. Promotional credits have no cash value and may be subject to stated limits or withdrawn for fraud or abuse. For refund calculations, redeemed credits are applied to promotional credits first, then to purchased credits from oldest to newest.
4. Prices, taxes, and payment
Credit-pack prices, the number of credits, currency, and applicable charges are displayed before checkout. Unless the checkout states otherwise, prices are in US dollars. You authorize our payment processor to charge the selected total. You are responsible for applicable taxes unless they are collected at checkout. We may correct an obvious pricing error before fulfillment and will offer cancellation or confirmation at the corrected price.
5. Digital delivery and cancellation
Credits and assets are delivered electronically as described in our Refunds and Digital Delivery Policy. Any withdrawal or cancellation rights provided by applicable law remain available. Nothing in these Terms limits a right that cannot legally be waived.
6. Asset licenses
A redemption grants a license, not ownership of the asset. The product page identifies the applicable license ID, version, rights holder, attribution, and any supplemental terms. Unless stated otherwise, the Atlas Commercial Asset License applies. The license version recorded at redemption governs that asset and will not be retroactively reduced by a later version.
7. Acceptable use
You may not violate law or third-party rights; probe, disrupt, or introduce malicious code into Atlas; automate deceptive signups; obtain promotional credits through multiple accounts; scrape protected content; bypass access controls or rate limits; redistribute source assets contrary to their license; or misrepresent ownership or provenance.
8. Availability and changes
We may modify, retire, or suspend marketplace features or assets for security, legal, supplier, or maintenance reasons. Existing valid licenses remain governed by the version recorded at redemption, although downloads may be restricted when required by law or following a material license breach. Keep local backups of downloaded assets; perpetual license rights do not promise perpetual hosting.
9. Intellectual property and complaints
OakMind AI Inc. and its licensors retain rights in Atlas, its interface, branding, catalog metadata, and service. Asset rights remain with OakMind AI Inc. or the identified rights holder. To report suspected infringement, email [email protected] with the work, asset URL, your contact information, the basis of your claim, and a statement that your report is accurate and authorized.
10. Suspension and termination
We may suspend or terminate access for material breach, fraud, abusive automation, security risk, chargeback abuse, or a legal requirement. Where reasonable, we will provide notice and an opportunity to cure. You may stop using Atlas and request account deletion, subject to required retention. Valid asset licenses survive account closure unless separately terminated for breach, but hosted downloads may cease.
11. Disclaimers
To the extent permitted by law, Atlas and its assets are provided “as is” and “as available.” Preview, compatibility, provenance, and technical metadata are supplied for evaluation and should be validated in your workflow. We do not warrant uninterrupted availability or that an asset is suitable for a particular purpose. We do not exclude warranties or remedies that cannot legally be excluded.
12. Limitation of liability
To the extent permitted by law, OakMind AI Inc. and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Their total aggregate liability arising from Atlas will not exceed the greater of CAD 100 and the amount you paid to OakMind AI Inc. during the 12 months before the event giving rise to the claim. These limits do not apply to fraud, willful misconduct, death or personal injury caused by negligence, or liability that cannot legally be limited.
13. Business-user indemnity
If you use Atlas on behalf of a business, that business will defend and indemnify OakMind AI Inc. against third-party claims arising from its unlawful use, breach of an asset license, or infringement caused by its modifications or combination of an asset with other material. This does not require indemnification for OakMind AI Inc.’s own breach or misconduct.
14. Governing law and disputes
Contact [email protected] first so we can try to resolve a concern. These Terms are governed by Ontario law and the federal laws of Canada applicable there, and the courts in Ontario have non-exclusive jurisdiction. Mandatory consumer protections and access to courts or tribunals where you live remain unaffected.
15. General and contact
These Terms, the applicable asset license, and policies incorporated by reference are the entire agreement for Atlas. If a provision is unenforceable, the remainder continues. A failure to enforce is not a waiver. You may not assign these Terms without consent; we may assign them as part of a reorganization or transfer of Atlas, subject to applicable law. Electronic notices may be sent to your account email. Legal notices to OakMind AI Inc. may be sent to [email protected].
